Acceptance of These Terms
Welcome to the Secure Data Compiler website (the “Site”). These Terms and Conditions (these “Terms”) govern your access to and use of our Site and any services provided through it, including the scheduling of product demonstrations and interaction with our AI chatbot (collectively, the “Services”). Secure Data Compiler (“Secure Data Compiler,” “Company,” “we,” “us,” or “our”) provides the Site and the Services subject to your acceptance of these Terms. By accessing, browsing, or using our Site or Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or Services.
These Terms form a binding legal agreement between you (the individual using the Site, or if you are using the Site on behalf of a company or other entity, that entity) and Secure Data Compiler. You represent and warrant that you have the legal authority to accept these Terms on your own behalf or on behalf of the entity you represent. If you are using the Site on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.
Please also review our Privacy Policy (available on our Site), which outlines how we collect, use, and protect personal information. The Privacy Policy is incorporated by reference into these Terms. By using our Site, you consent to the practices described in the Privacy Policy as well.
Scope of Terms
These Terms apply to your use of our public-facing website at www.SecureDataCompiler.com and any content, functionality, and services offered through it, including the embedded Calendly scheduling tool and the AI chatbot. These Terms do not govern use of our enterprise software or any white-label implementations provided to clients under separate agreements. If you become a client of the Secure Data Compiler enterprise software, or if you use a version of our software provided by a third-party client, such usage will be subject to a separate license or service agreement (and possibly a custom privacy policy or terms) between you and us or between you and that client. In the event of a conflict between these Terms and the terms of a separate written agreement you have with Secure Data Compiler, the separate agreement will prevail for the products or services it covers.
Our Site and Services are intended for users in the United States. We make no representations that the Site is appropriate or available for use in other locations. If you access the Site from outside the U.S., you do so on your own initiative and are responsible for compliance with applicable local laws. The Site is not directed to children under the age of 13, and by using the Site you affirm that you are at least 13 years of age. If you schedule a demo or engage in a transaction with us, you further represent that you are at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts.
Permitted Use of the Site and Services
You may use the Site and Services solely for lawful and authorized purposes and in compliance with these Terms and all applicable laws. The Site is provided for your informational purposes and to facilitate your evaluation of Secure Data Compiler’s offerings. Specifically, you are permitted to:
- Learn About Our Software: Review the information on our Site and use our AI chatbot to ask questions about our product and services. (Please note that the chatbot is for general informational assistance and not for disclosing sensitive personal data. All interactions are subject to the Privacy Policy and disclaimers herein.)
- Schedule Product Demos: Use the embedded Calendly scheduler to request and book a demo or appointment with us. This includes submitting your contact details for the purpose of setting up the demo and receiving communications about it (e.g., confirmation emails or calendar invites).
- Evaluate Our Offerings for Internal Use: If you attend a demo or are given access to any trial or test features, you may evaluate our software and materials internally within your organization for the sole purpose of considering our products or services. Such evaluation must be done in accordance with the confidentiality and usage restrictions set forth in these Terms.
Your right to use the Site and Services is personal to you and your organization. You agree not to share any login, access credentials, or special demo access links with any unauthorized individuals. You are responsible for all activity that occurs under your scheduling or access to the Services. If you become aware of any unauthorized use of the Site or any security breach, you must notify us immediately.
Prohibited Uses and Conduct
We expect all users to use our Site responsibly. You agree that you will NOT engage in any of the following prohibited activities:
- Unauthorized Access or Disruption: You will not attempt to gain unauthorized access to any portion of the Site, our servers, or any other systems or networks associated with Secure Data Compiler. This includes not attempting to bypass or undermine any security or authentication measures. You will not probe, scan, or test the vulnerability of our Site or network, or breach any security or encryption measures used by our Site. Additionally, you will not interfere with or disrupt the operation of the Site or the servers/network hosting it (e.g., by transmitting any viruses, malware, or any other code or device intended to cause harm or impose an undue load on the Site).
- Unlawful or Harmful Activity: You will not use the Site or Services for any unlawful, fraudulent, or malicious purpose, or to engage in or promote any activity that is illegal under applicable law. This includes refraining from posting or transmitting any content via the Site (such as through contact forms or chatbot interactions) that is illegal, defamatory, harassing, abusive, obscene, hateful, or that violates the rights of any third party.
- Misrepresentation or Impersonation: You will not impersonate any person or entity, or misrepresent your affiliation with any person or entity, when using the Site. For example, you must not provide false information when scheduling a demo or pretend to be someone you are not. You also agree not to disguise the origin of any communication or data you send to us.
- Data Mining or Scraping: You will not use any automated means (such as bots, spiders, or scrapers) to access the Site, extract data, or gather content for any purpose without our express written permission. You also agree not to use or launch any automated system that sends more request messages to our servers than a human can reasonably produce in the same period of time by using a conventional web browser (except that revocable permission is granted to public search engines to use spiders to copy materials from the Site solely to the extent necessary for creating publicly available searchable indices of the materials).
- Reproduction or Distribution of Content: Except as expressly permitted in these Terms, you will not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Site or its content. You will not remove or obscure any copyright, trademark, or other proprietary notices on the Site. (Limited caching or printing of content for your personal/internal use in evaluating our services is permitted, as long as you do not remove any notices and comply with the Confidentiality section of these Terms).
- Reverse Engineering and Competitive Use: You will not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or trade secrets underlying our software or Services, except to the limited extent that applicable law expressly permits this despite this limitation. Furthermore, you will not use the Site or any information gained through the Site or a demo for the purpose of developing, improving, or operating any service that competes (or could reasonably compete) with Secure Data Compiler, or assist any third party in doing so. Use of the Site to perform competitive analysis or to benchmark our services against a competitor’s product is strictly prohibited.
- Competitor Access: Competitors (including anyone working for or on behalf of a competitor of Secure Data Compiler) are not authorized to access or use our Site or Services without our prior, express written consent. By using this Site or registering for a demo, you represent and warrant that you are not a competitor of Secure Data Compiler (or acting on behalf of one) and that you are using the Site in good faith for its intended purposes. We reserve the right to deny access to the Site or refuse demo requests at our discretion, particularly if we suspect a user is a competitor or is in violation of these Terms.
- Any Other Misuse: You will not engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by Secure Data Compiler, may harm Secure Data Compiler or users of the Site, or expose them to liability.
Violation of any of the above may result in immediate termination or suspension of your access to the Site and Services (see the Termination section below), and you may be subject to legal consequences. We reserve the right to investigate occurrences that may involve such violations and may involve and cooperate with law enforcement authorities in prosecuting users who engage in prohibited activities.
Intellectual Property Rights
All content and materials available on the Site and provided through the Services—including but not limited to text, graphics, logos, button icons, images, audio clips, video, software code, design, and the arrangement and compilation of such content—are the property of Secure Data Compiler or its content suppliers and are protected by United States and international intellectual property laws (including copyright, trademark, trade secret, and patent laws). Secure Data Compiler reserves all rights, title, and interest in and to its intellectual property.
Trademarks: Secure Data Compiler™ and the Secure Data Compiler logo, as well as any other product or service names or slogans displayed on the Site, are trademarks or service marks of Secure Data Compiler (with trademark registration pending). You are not permitted to use any Secure Data Compiler trademarks without our prior written consent. All other trademarks appearing on the Site are the property of their respective owners and are used only to refer to those companies’ goods and services.
Patent Notice: Certain features, functionalities, or technologies provided by Secure Data Compiler are subject to one or more pending patent applications. Patent pending protections apply to aspects of our software and Services. No license to our patents (pending or issued) is granted to you, and any unauthorized use of our patented or patent-pending technology is strictly prohibited and may result in legal action.
Limited License and Use: Subject to your compliance with these Terms, Secure Data Compiler grants you a limited, revocable, non-exclusive, and non-transferable license to access and make personal or internal business use of the Site and its content for the sole purpose of evaluating our services or learning about our offerings. This license does not include any right to:
- Modify, publish, transmit, license, or sell any content from the Site (other than your own submissions, if any).
- Download, aggregate, or data-mine from the Site for the purpose of building a product or database.
- Resell or make any commercial use of the Site or its content (other than internally considering our products or services for your legitimate business use).
- Use meta tags or any other “hidden text” utilizing Secure Data Compiler’s name or trademarks without our express written consent.
Any use of the Site or content not expressly authorized in these Terms is strictly prohibited and will automatically terminate the limited license granted to you. No rights or title to any Secure Data Compiler intellectual property are transferred to you by virtue of allowing you to access the Site or participate in a demo. Secure Data Compiler and its licensors reserve all right, title, and interest in and to all intellectual property rights related to the Site, the Services, and our software.
Feedback: If you choose to provide any feedback, suggestions, or ideas about Secure Data Compiler or our Services (“Feedback”), you agree that Secure Data Compiler is free to use such Feedback in any way, including in future enhancements and modifications of our products and services, without any restriction or compensation to you. You hereby grant Secure Data Compiler a perpetual, irrevocable, worldwide, sublicensable, and royalty-free license to use, reproduce, modify, and incorporate any Feedback you provide.
Confidential Information and Non-Disclosure
Through your use of the Site or participation in a product demo, you may gain access to Confidential Information of Secure Data Compiler. “Confidential Information” means any non-public information—whether oral, written, visual, or in any other form—that is disclosed or made available to you by us (directly or indirectly) and that is identified as confidential or proprietary, or which reasonably should be understood to be confidential given the nature of the information or the circumstances of disclosure. Confidential Information includes, without limitation: information about our software’s features, functionalities, and user interface that are not publicly available; technical specifications, algorithms, or architectures; pricing proposals or business strategies; any demo materials, prototypes, or test results; and any questions answered or information provided to you (either by our team or via the AI chatbot) that is not readily available to the general public. All information presented to you during a private demo (whether live or through a demo account) shall be considered Confidential Information of Secure Data Compiler.
Non-Disclosure Obligations: You agree to hold all Confidential Information in strict confidence and not to disclose, publish, or disseminate it to any third party without our express prior written consent. You may use the Confidential Information solely for the purpose of evaluating Secure Data Compiler’s products or services internally within your organization. You shall exercise at least the same degree of care to protect the confidentiality of our information as you would for your own similar confidential information, and in no event less than reasonable care. This means, for example, that you must not share demo materials, screenshots, or performance data with anyone outside of your company’s evaluation team, and you must not use any Confidential Information to compete with us or to help any third party compete with us.
No Use; No Reverse-Engineering: In addition to the general prohibition on competitive use stated earlier, you specifically agree that you will not use the Confidential Information to reverse-engineer, disassemble, or otherwise derive aspects of our software, nor will you use any Confidential Information to develop or improve any product or service that could be considered competitive with or a derivative of Secure Data Compiler’s offerings. Confidential Information is to be used by you only for its intended purpose of evaluating our solution or engaging with us as a prospective customer.
Exceptions:
The obligations in this section shall not apply to any information that you can show, through competent evidence, (a) is or becomes publicly available without breach of any obligation to Secure Data Compiler (e.g., if we release certain features to the public, information on those publicly released features would no longer be confidential); (b) you already knew without an obligation of confidentiality at the time of disclosure (i.e., you had prior knowledge of certain facts legitimately and not through us); (c) you lawfully obtain from a third party who had the right to disclose it without any obligation of confidentiality; or (d) you independently develop without reference to or use of our Confidential Information.
Compelled Disclosure: If you are required by law, regulation, or court order to disclose Confidential Information, you may do so, provided that you (to the extent permitted) give us prompt written notice of the requirement so we may seek a protective order or other appropriate remedy to prevent or limit disclosure. Even if compelled by law to disclose Confidential Information, you will only disclose the portion of the Confidential Information that you are legally required to disclose and will use your best efforts to ensure that the information disclosed is treated confidentially.
Term of Confidentiality: Your duty to protect Confidential Information begins when you first access or receive such information (including by scheduling or attending a demo, or by receiving non-public information via the chatbot or any communication from us) and continues for a period of five (5) years from the date of disclosure, or until one of the exceptions listed above applies (whichever comes first). However, for any Confidential Information that constitutes a trade secret under applicable law, your confidentiality obligations will continue for as long as such information remains a trade secret.
By requesting or participating in a demo, you acknowledge and agree that an NDA (Non-Disclosure Agreement) is in place between you and Secure Data Compiler from the moment of your request, and that these Terms serve as the confidentiality terms of the NDA. We may, at our discretion, also ask you to sign a separate, standalone NDA prior to providing certain sensitive information or demos; however, even if no separate NDA is signed, you are still bound by the confidentiality obligations described here.
Competitors and Confidentiality: If you are a competitor of Secure Data Compiler (or an employee or agent of a competitor) and you access Confidential Information in violation of these Terms, you will be deemed to have agreed to the terms of this confidentiality section despite such unauthorized access. In other words, even a competitor who proceeds to obtain a demo or Confidential Information under false pretenses will be legally obligated not to use or disclose that information.
Secure Data Compiler reserves all rights and remedies in the event of unauthorized access to or misuse of Confidential Information by any party. You acknowledge that any breach or threatened breach of this Confidential Information section may cause irreparable harm to Secure Data Compiler, for which monetary damages would be an inadequate remedy. Therefore, in addition to any other rights and remedies available, Secure Data Compiler may seek injunctive or equitable relief to prevent or restrain any breach of your confidentiality obligations, without the need for posting a bond or proving actual damages.
Third-Party Services and Links
Our Site incorporates or links to certain third-party services to facilitate our offerings. By using our Site, you acknowledge and agree to the following regarding third-party services:
- Calendly Scheduling: We use an embedded scheduling tool provided by Calendly to allow you to book demos and appointments. When you interact with the Calendly scheduler on our Site, you are also subject to Calendly’s Terms of Service and Privacy Policy. We are not responsible for Calendly’s terms or privacy practices, but we have engaged them as a service provider and they have agreed to use your information only for scheduling purposes (as detailed in our Privacy Policy). If you do not agree with Calendly’s terms or policies, please refrain from using the scheduling feature; you can contact us directly via email to arrange a demo as an alternative.
- Google Services (Meet and Chatbot): Our demos are generally conducted over Google Meet (or similar online meeting platforms), and invites are sent via Google Calendar. By joining a Google Meet demo, you may be required to agree to Google’s terms of service for that platform. In addition, our on-site AI chatbot is powered by Google’s conversational AI technology. While you interact with the chatbot, your queries are processed by Google’s systems to generate responses. Google’s terms and privacy policy govern your use of those features as it pertains to Google’s processing. Secure Data Compiler is not responsible for any issues arising from Google’s services, but we limit the information shared with Google as described in our Privacy Policy.
- External Links: The Site may contain links to third-party websites or resources for your convenience or informational purposes (e.g., links to articles, documentation, or partner websites). Secure Data Compiler does not endorse and is not responsible for the content, products, services, or information on any third-party websites. If you access a third-party site from our Site, you do so at your own risk, and different terms and policies may apply to your use of those sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.
- Third-Party Content: Any third-party content or references on our Site (such as a third-party logo or service description) are used either nominatively or for identification purposes only. All third-party trademarks or names remain the property of their respective owners. The use of such marks or references does not imply an association with or endorsement by Secure Data Compiler unless explicitly stated.
In summary, while we strive to incorporate reliable third-party tools to enhance your experience, any use of third-party services is at your own risk. Secure Data Compiler is not liable for the acts or omissions of any third party. However, if you encounter an issue with a third-party service integrated into our Site, we invite you to notify us, and we will make our best effort to address or remedy the situation within our ability.
Disclaimer of Warranties
Use at Your Own Risk: Your use of the Site, the Services (including the AI chatbot), and participation in any product demos is at your sole risk. The Site and all content, information, and services provided through it are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied. To the fullest extent permissible by applicable law, Secure Data Compiler (and its officers, directors, employees, and agents) disclaims all warranties, express or implied, in connection with the Site and the Services, including but not limited to:
- Implied Warranties: Any and all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade are expressly disclaimed. We do not warrant that the Site will meet your requirements or expectations, or that it will result in any particular outcome for you or your business.
- Accuracy and Completeness: Secure Data Compiler does not warrant that the content of our Site (including responses given by the chatbot or statements made during a demo) is complete, accurate, or up-to-date. While we strive to provide helpful and correct information, the content on the Site is provided for general informational purposes and should not be relied upon as professional or expert advice. Any reliance you place on such information is strictly at your own risk.
- Operation and Security: We do not guarantee that the Site or the Services will be available on an uninterrupted, secure, or error-free basis. While we implement robust security measures (as detailed in our Privacy Policy), we do not warrant that the Site is free of viruses, malware, or other harmful components, or that any technical defects will be corrected immediately. You are responsible for implementing appropriate safeguards (such as anti-virus software and firewall protection) to protect your own systems.
- Third-Party Services: We make no representations or warranties regarding any third-party services integrated with or linked from our Site (such as Calendly scheduling or Google services). We do not guarantee any particular outcome from using those services during your interaction with us. Any issues arising from those services are outside of our control and we offer no warranty for them.
- Demo and Trial Results: If you are provided with a demo or trial access to our software, we disclaim any warranty that the demo or trial will perform without errors or that it will be suitable for your specific needs. Demos are provided for temporary evaluation only. It is your sole responsibility to determine whether our product is suitable for your intended use, and you acknowledge that any demo is offered without any commitment or guarantee of performance or future features.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of the duration of an implied warranty. To the extent such laws apply to these Terms, some or all of the above disclaimers may not apply to you, and you may have additional rights. In such cases, our warranties are limited to the minimum warranty period permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by law, in no event shall Secure Data Compiler, its parent, affiliates, officers, directors, employees, agents, or licensors be liable to you or any third party for any of the following types of loss or damages arising out of or in connection with your use of (or inability to use) the Site, the Services, or any content, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages:
- Indirect or Consequential Losses: This includes, but is not limited to, any indirect, incidental, special, exemplary, or consequential damages;
- Loss of Profits or Business: Any loss of profits, revenue, business, anticipated savings, goodwill, or other intangibles;
- Loss of Data: Any loss, theft, corruption, or breach of data or information (even if we have been warned of the possibility of such damages and even if any limited remedy fails of its essential purpose);
- Service Interruptions: Any damages related to Site downtime or the inability to access the Site or Services, delays, non-delivery of content, or any errors or omissions in the content;
- Third-Party Conduct: Any conduct or content of any third party using or interacting with the Site (including any defamatory, offensive, or illegal conduct of other users or third parties), or any content obtained from third-party links or services.
Aggregate Liability Cap: In jurisdictions where liability limitations are allowed, Secure Data Compiler’s total cumulative liability to you for any claims arising from or relating to these Terms or the use of the Site or Services (whether in contract, tort, or otherwise) will not exceed the greater of: (a) the total amount (if any) you paid to Secure Data Compiler for the specific Service or demo that is the subject of the claim in the twelve (12) months immediately preceding the event giving rise to liability, or (b) $100 USD. If you have paid no fees to Secure Data Compiler (e.g., if you only used free aspects of the Site like browsing and demos, which is typically the case), our liability shall be limited to a total of $100. This limitation is cumulative and not per incident; multiple claims will not increase the limit.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If the applicable law in your jurisdiction does not allow for the exclusion of certain warranties or the limitation or exclusion of liability as set forth above, then such exclusions or limitations will apply to you only to the extent permitted by applicable law. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded by law (for example, certain liabilities under U.S. product liability law or for willful misconduct may not be excludable). In such cases, Secure Data Compiler’s liability will be limited to the greatest extent permitted by applicable law.
You acknowledge and agree that the disclaimers and limitations of liability in these Terms are material, bargained-for bases of this agreement and that Secure Data Compiler has set its prices (free access) and entered into this agreement in reliance upon such disclaimers and limitations of liability. You agree that such disclaimers and limitations will apply even if any limited remedy fails of its essential purpose.
Indemnification
You agree to indemnify, defend, and hold harmless Secure Data Compiler, its parent, affiliates, and subsidiaries, and each of their respective officers, directors, employees, agents, partners, and licensors (collectively, the “Secure Data Compiler Parties”) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Site or Services; (b) your violation of any of these Terms; (c) your violation of any third-party right, including any intellectual property, confidentiality, or privacy right; or (d) any allegation that any data or information you provide to us (e.g., content you submit via a contact or chat form) infringes or violates the rights of any third party or applicable law.
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Secure Data Compiler. This indemnification obligation will survive any termination of your use of the Site or Services and/or these Terms.
Termination and Suspension
Termination by Secure Data Compiler: We reserve the right, in our sole discretion, to suspend or terminate your access to the Site or any part of the Services at any time, with or without notice, and with or without cause. Without limiting the foregoing, we may immediately suspend or terminate your use of the Site (including access to any scheduled demos or to the chatbot) if we determine or reasonably suspect that you have breached these Terms, infringed on our intellectual property rights, misused Confidential Information, or engaged in behavior that we deem harmful or unlawful. We will not be liable to you or any third party for terminating your access to the Site or Services under these circumstances.
Your Right to Cease Use: You may stop using the Site and Services at any time. If you wish to cancel a scheduled demo, you can do so through the Calendly scheduling interface or by contacting us directly. If you no longer agree to these Terms or any updated Terms, you must stop using the Site. Any continued use of the Site will be deemed as acceptance of the current Terms.
Effect of Termination: Upon termination of these Terms (either by your choice to stop using the Site, or by our action to terminate your access), the rights and licenses granted to you under these Terms will immediately cease. You must promptly destroy any downloaded or printed materials (and any copies thereof) obtained from our Site. However, the following sections of these Terms will survive any termination or expiration and remain in effect: Intellectual Property Rights, Confidential Information and Non-Disclosure, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provision that by its nature or explicit terms is intended to survive termination. Termination of access or of these Terms will not relieve you of any obligations incurred or arising prior to termination (e.g., confidentiality obligations for information already received, or any liability for breach incurred before termination). If your access is terminated due to a breach of these Terms, we reserve the right to pursue all legal remedies available to us.
Changes to These Terms
Secure Data Compiler may update or revise these Terms from time to time. We will post any changes on this page and update the “Last Updated” date at the top of the Terms. If we make material changes to these Terms, we will make a reasonable effort to notify you (for example, by posting a prominent notice on our Site or, if we have your email from a demo request, via email notification). However, it is ultimately your responsibility to check the Terms periodically for any updates. Any changes to the Terms will become effective upon posting, unless otherwise stated. By continuing to use the Site or Services after the revised Terms have been posted, you agree to be bound by the updated Terms. If you do not agree to any modification of these Terms, you must stop using the Site and Services. No amendment to or modification of these Terms will be binding unless published by our authorized representatives as described above.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to these Terms or the use of the Site or Services shall be governed by and construed in accordance with the laws of the State of Florida, U.S.A., without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction. To the extent that the federal laws of the United States apply, we also agree that those laws will apply (without interfering with the application of Florida law to the extent state law is relevant).
Jurisdiction and Venue: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site/Services that cannot be resolved through good-faith negotiations shall be brought exclusively in the state or federal courts located in the State of Florida. You hereby consent to the personal jurisdiction of those courts and waive any objection to such jurisdiction or venue (including objections based on inconvenience).
Notwithstanding the foregoing, Secure Data Compiler may seek injunctive or equitable relief in any court of competent jurisdiction (including, but not limited to, for addressing breaches of intellectual property or confidentiality obligations) if necessary to protect its rights, pending the outcome of any formal dispute resolution proceedings.
International Use: We recognize that our Site may be accessible from anywhere in the world, and the laws of different jurisdictions may differ. By accessing the Site, you and Secure Data Compiler both agree that all matters relating to the Site will be governed by the laws of the United States and, specifically, the State of Florida as noted above. They supersede all prior and contemporaneous understandings, agreements, representations, or warranties, both written and oral, with respect to the subject matter. No oral or written information or advice given by us (e.g., by a Secure Data Compiler representative during a demo) will create any additional warranties or in any way increase the scope of the obligations under these Terms, unless explicitly incorporated herein.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. In other words, the invalidity of any part of these Terms will not affect the validity and enforceability of the remainder.
No Waiver: No waiver by Secure Data Compiler of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Likewise, any failure of Secure Data Compiler to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. Assignment: You may not assign or transfer these Terms (or any of your rights or obligations under them) without our prior written consent. Any attempted assignment in violation of this provision is null and void. Secure Data Compiler may freely assign or transfer these Terms (e.g., in the event of a merger, acquisition, sale of assets, or by operation of law) without your consent. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, employer-employee, agency, or fiduciary relationship between you and Secure Data Compiler. Whenever the words “include,” “includes,” or “including” are used in these Terms, they shall be deemed to be followed by the phrase “without limitation.” The word “or” is inclusive (meaning “and/or”) unless the context dictates otherwise. In the event of ambiguity in these Terms, they will be interpreted fairly and reasonably without construing any provision in favor of or against either party.
